TERMS OF SERVICE

Welcome to Suubty!

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Suubty ("we," "us," or "our") governing your access to and use of the Suubty website at https://www.suubty.com ("Website") and our AI video translation and generation services ("Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. SERVICE DESCRIPTION

Suubty provides AI-powered video services including:

• Video Translation: AI-driven translation and lip-sync dubbing in 280+ languages
• AI Video Generation: Text-to-video generation using Sora 2 AI technology
• Video Editing: Basic editing capabilities for generated videos
• Batch Processing: Ability to process multiple videos simultaneously

Our Services are provided on a credit-based system. Users purchase credit packages to access video processing features.

2. ACCOUNT REGISTRATION AND SECURITY

2.1 Account Creation
• You must be at least 16 years old to create an account
• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account

2.2 Account Security
• You must notify us immediately of any unauthorized access or security breach
• We reserve the right to suspend or terminate accounts that violate these Terms
• You may not share, sell, or transfer your account to another person

2.3 Authentication
• We use OAuth authentication (Google) and email-based authentication
• You are responsible for maintaining access to your registered email address

3. CREDITS AND PAYMENT

3.1 Credit System
• Our Services operate on a prepaid credit system
• One credit equals one video translation or generation task
• Credits are non-refundable except as specified in Section 3.5
• Credits do not expire but are tied to your account
• Credits are non-transferable between accounts

3.2 Pricing and Packages
Current credit packages:
• Starter Pack: 10 credits - €9.99
• Creator Pack: 50 credits - €39.99
• Pro Pack: 100 credits - €69.99
• Business Pack: 500 credits - €299.99
• Enterprise Pack: 1000 credits - €499.99

Prices are subject to change. Changes will not affect credits already purchased.

3.3 Payment Processing
• Payments are processed securely through Stripe
• We accept credit cards and debit cards
• All prices include applicable Belgian VAT where required
• You authorize us to charge your payment method for purchases

3.4 Billing and Invoices
• Invoices are sent via email upon purchase
• You are responsible for providing accurate billing information
• Failed payments may result in service suspension

3.5 Refund Policy
• Refunds are available within 7 days of purchase if:
  - No credits have been used from the purchased package
  - You experience a technical issue preventing service use (we will attempt to resolve first)
• Partial refunds are not available for partially used credit packages
• To request a refund, contact [email protected] with your order details
• Refunds are processed within 14 business days
• Refunds are issued to the original payment method

3.6 Free Credits
• New users receive 1 free credit upon account creation
• Free credits are subject to the same terms as purchased credits
• We reserve the right to modify or discontinue free credit offers

4. VIDEO CONTENT AND INTELLECTUAL PROPERTY

4.1 Your Content
• You retain all ownership rights to videos you upload
• You grant us a limited license to process, store, and transmit your videos solely to provide our Services
• You represent and warrant that you have all necessary rights to upload and process your videos

4.2 Prohibited Content
You may not upload or generate videos containing:
• Illegal content or content that violates any laws
• Copyrighted material without proper authorization
• Pornographic, obscene, or sexually explicit content
• Content that promotes violence, hatred, or discrimination
• Content that infringes on third-party rights (privacy, publicity, intellectual property)
• Deepfakes or misleading content impersonating real individuals without consent
• Child exploitation material (we will report to authorities)
• Spam, malware, or malicious code
• Content that violates our Community Guidelines

4.3 Content Moderation
• We reserve the right to review, reject, or remove content that violates these Terms
• Automated and manual moderation may be employed
• Repeated violations will result in account termination
• We are not responsible for user-generated content

4.4 Generated Videos
• You own the videos generated by our AI Services
• Videos are generated using third-party AI models (Replicate, OpenAI Sora 2)
• Generated content is subject to the limitations and licenses of underlying AI models
• You may use generated videos for commercial purposes subject to AI model terms
• We do not claim ownership of AI-generated content you create

4.5 Suubty Intellectual Property
• Our website, Services, software, algorithms, and branding are owned by Suubty
• You may not copy, modify, distribute, or reverse-engineer our Services
• "Suubty" and our logo are our trademarks and may not be used without permission

5. VIDEO STORAGE AND DELETION

5.1 Automatic Deletion Policy
• All uploaded and generated videos are automatically deleted after 24 hours
• This policy applies to all users and cannot be modified
• Videos are permanently deleted and cannot be recovered after deletion

5.2 Download Responsibility
• You are responsible for downloading videos within the 24-hour window
• We are not liable for data loss due to automatic deletion
• We recommend downloading videos immediately after processing

5.3 Data Security
• Videos are stored on secure Supabase cloud infrastructure
• Storage is encrypted at rest and in transit
• Access is restricted to authorized personnel only

6. SERVICE USAGE AND LIMITATIONS

6.1 Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:
• Violate any applicable laws or regulations
• Infringe on intellectual property or other rights
• Upload malicious code or attempt to compromise our systems
• Abuse, harass, or harm other users
• Attempt to circumvent security measures or rate limits
• Use automated systems (bots, scrapers) without authorization
• Resell or redistribute our Services without permission

6.2 Rate Limits and Fair Use
• API rate limits are enforced to ensure fair usage (3 requests per minute for generation endpoints)
• Excessive usage may result in temporary suspension
• We reserve the right to implement usage quotas

6.3 Service Availability
• We strive for 99% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for service interruptions beyond our control

7. AI SERVICE LIMITATIONS AND DISCLAIMERS

7.1 AI-Generated Content
• AI-generated videos may contain errors, artifacts, or unexpected results
• Quality depends on input data, prompts, and AI model capabilities
• We do not guarantee specific outcomes or quality levels
• AI models are continuously improved, and results may vary over time

7.2 Translation Accuracy
• AI translation may not be 100% accurate
• Cultural context and nuances may be lost in translation
• We recommend human review for critical translations
• We are not liable for translation errors or miscommunications

7.3 Third-Party AI Dependencies
• Our Services rely on third-party AI providers (Replicate, OpenAI)
• Service availability depends on third-party uptime
• We are not responsible for third-party service failures
• We may switch AI providers to improve service quality

8. TERMINATION

8.1 Termination by You
• You may delete your account at any time through account settings
• Unused credits are forfeited upon account deletion (subject to refund policy)
• Deletion is permanent and cannot be reversed

8.2 Termination by Us
We may suspend or terminate your account immediately if you:
• Violate these Terms or our policies
• Engage in fraudulent activity
• Upload prohibited content
• Abuse our Services or other users
• Fail to pay for services

8.3 Effect of Termination
• Access to Services will be revoked immediately
• Unused credits are forfeited (unless refund-eligible)
• Your data will be deleted in accordance with our Privacy Policy
• Sections that should survive termination will remain in effect

9. WARRANTY DISCLAIMER

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees of uninterrupted, error-free, or secure service
• Guarantees of specific results or quality
• Accuracy or reliability of AI-generated content

SOME JURISDICTIONS DO NOT ALLOW DISCLAIMER OF IMPLIED WARRANTIES. IN SUCH CASES, THE ABOVE DISCLAIMERS MAY NOT APPLY IN FULL.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY BELGIAN LAW:

• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS
• WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS OR FAILURES

THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL THEORY.

BELGIAN LAW MAY NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Suubty, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of third-party rights
• Content you upload or generate
• Your breach of applicable laws

12. PRIVACY AND DATA PROTECTION

• Your use of our Services is governed by our Privacy Policy: https://www.suubty.com/privacy-policy
• We process personal data in accordance with GDPR and Belgian data protection laws
• By using our Services, you consent to data processing as described in our Privacy Policy

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Belgium, without regard to conflict of law principles.

13.2 Jurisdiction
Any disputes arising from these Terms or use of our Services shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.

13.3 Dispute Resolution

• We will attempt good-faith resolution within 30 days
• If unresolved, either party may pursue legal remedies

• Continued use after changes constitutes acceptance
• If you do not agree to changes, you must stop using our Services

• Updated Terms will be posted on this page with a new "Last Updated" date
• We recommend reviewing these Terms periodically

15. GENERAL PROVISIONS

15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Suubty.

15.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

15.3 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms to a successor or affiliate.

15.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, government actions, etc.).

15.6 Language
These Terms are provided in English. In case of translation discrepancies, the English version prevails.

• You understand videos are automatically deleted after 24 hours
